Terms of Service

These terms govern your purchase of Mind Kontrol hardware as a licensed retailer, distributor, or brand. By placing an order, you agree to these terms.

Eligibility

Mind Kontrol sells exclusively to:

Licensed retailers, distributors, and manufacturers operating in the vape, smoke, head shop, dispensary, or accessory categories
Authorized signatories of such businesses
Buyers age 21 or older

You agree to provide current license documentation upon request and to notify us within 30 days of any change to your licensed status.

Pricing

All pricing visible to verified wholesale customers reflects current published rates. Pricing is subject to change with 30 days written notice. Volume tier discounts apply automatically based on rolling 30-day order volume. Tier downgrades require 60 days written notice.

Quoted prices on private label and custom orders are valid for 30 days from quote date.

Payment terms

Standard: Payment in full at time of order via ACH, wire, or business credit card. Net-30: Available to Tier 3+ accounts at our discretion. Past-due accounts pause shipping until balance is current. Late fees: 1.5% per month on balances over 30 days past due. Returned payments: $35 fee plus any bank charges.

Order acceptance

We reserve the right to refuse, cancel, or modify any order for reasons including but not limited to: license verification failure, suspected unauthorized resale, regulatory restrictions, inventory limitations, or business judgment.

Returns and warranty

See our Compliance page for full warranty terms. Defective units replaced within 72 hours of report. Non-defective returns require pre-authorization and are subject to 15% restocking fee.

Resale restrictions

You agree not to resell Mind Kontrol hardware to:

Unlicensed buyers
Buyers under age 21
Markets where Mind Kontrol shipment is restricted
Online retailers operating without proper business licensing

Violations may result in immediate account termination and recall of unsold inventory.

Intellectual property

Mind Kontrol logos, trademarks, product designs, and proprietary documentation remain Mind Kontrol property. You receive a limited license to use approved marketing materials for the purpose of reselling our hardware. Modification, derivative works, or competitive product development using our IP is prohibited.

Private label customers receive specific IP licensing terms in their PL agreement.

Limitation of liability

Mind Kontrol's liability for any claim is limited to the value of the order in question. We are not liable for indirect, incidental, or consequential damages including but not limited to lost revenue, regulatory fines incurred by buyer, or reputational damage.

We are not responsible for the contents loaded into our hardware after sale, or for the regulatory compliance of buyer's products.

Force majeure

Delivery delays caused by acts of God, government action, supply chain disruption, carrier failure, or other circumstances beyond our reasonable control do not constitute breach of these terms.
